End User License Agreement for Trace IT This End User License Agreement (“Agreement”) is a legal agreement between you (“End User” or “you”) and Trace IT (“Licensor” or “we” or “us”) for the use of the software and services provided by Trace IT (“Software”).
BY CLICKING THE “I AGREE” BUTTON, DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
License Grant. Licensor grants to End User a non-exclusive, non-transferable, limited license to use the Software in accordance with the terms and conditions of this Agreement. Restrictions. End User shall not:
(a) modify, copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works of, transfer, sell, or otherwise exploit the Software or any part thereof;
(b) reverse engineer, decompile, disassemble, or attempt to derive the source code or structure of the Software, except and only to the extent that such activity is expressly permitted by applicable law;
(c) remove, alter, or obscure any proprietary notices or labels on the Software or any part thereof;
(d) use the Software to violate any applicable laws, regulations, or third-party rights;
(e) rent, lease, or lend the Software to any third party;
(f) use the Software to create a competing product or service; or
(g) use the Software in any way not expressly permitted by this Agreement. Ownership. The Software is licensed, not sold, to End User. Licensor and its licensors own all right, title, and interest in and to the Software, including all intellectual property rights. Warranty Disclaimer. The Software is provided “AS IS” and without warranty of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will meet End User’s requirements or that its use will be uninterrupted or error-free.
Limitation of Liability. Licensor shall not be liable to End User or any third party for any damages arising out of the use or inability to use the Software, including, without limitation, any lost profits, business interruption, or loss of data. Termination.
This Agreement shall remain in effect until terminated by either party. End User may terminate this Agreement at any time by uninstalling the Software.
Licensor may terminate this Agreement immediately upon notice to End User if End User breaches any of its terms and conditions. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada, without giving effect to any principles of conflicts of law. Entire Agreement.
This Agreement constitutes the entire agreement between Licensor and End User and supersedes all prior or contemporaneous understandings, whether written or oral, relating to the Software. Amendments.
Licensor reserves the right to modify this Agreement at any time by providing notice to End User. End User’s continued use of the Software after such notice constitutes End User’s acceptance of the modified Agreement.
